The rules of working together.

These Terms and Conditions govern your purchase of moodlab products and services. Please read them before buying. By completing a purchase or engaging us on a bespoke basis, you agree to these terms.

The short version

You're buying a fixed-fee marketing diagnostic or a bespoke project from Moodstone Ltd, trading as moodlab. We do the work, deliver it inside a custom Notion workspace, and the output is yours to keep.

We don't guarantee results. Our work is strategic and advisory. What happens after delivery depends on you. These terms set out what you can expect from us and what we expect from you.

1. Who we are

moodlab is a marketing diagnostic studio for founder-led consumer brands. We provide fixed-fee marketing audits and bespoke strategic projects delivered via a custom Notion workspace.

These Terms and Conditions are issued by Moodstone Ltd, a company registered in England and Wales, trading as moodlab.

References to "we", "us" and "moodlab" in these terms mean Moodstone Ltd. References to "you" or "the client" mean the person or business purchasing our products or services.

2. Definitions

The following terms are used throughout this document.

Diagnostic Product

A fixed-fee marketing audit purchased through moodcolab.io — the Diagnostic Scan, Growth Report or Strategic Direction.

Bespoke Package

A custom-scoped project agreed separately between moodlab and the client, governed by a written quote or Statement of Work.

Notion Workspace

The custom Notion dashboard we build and share with you as the primary deliverable for every Diagnostic Product.

Intake Form

The onboarding form completed by the client before work begins, providing business context, access details and the key questions to be answered.

Deliverables

All findings, recommendations, roadmaps, dashboards, reports and supporting materials produced by moodlab and provided to the client.

Working Days

Monday to Friday, excluding UK public holidays.

3. Acceptance of terms

By completing a purchase on moodcolab.io, submitting an enquiry for a bespoke package or engaging moodlab to carry out work, you confirm that you have read and agree to these Terms and Conditions.

If you are purchasing on behalf of a business, you confirm that you have authority to enter into these terms on that business's behalf.

These terms apply to all purchases made through moodcolab.io and to all bespoke engagements. Where a bespoke package has a separate written quote or Statement of Work, that document applies in addition to these terms. In the event of conflict, the separate document takes precedence.

4. Our services

moodlab provides two types of service.

Diagnostic Products

Fixed-fee, fixed-scope marketing audits available to purchase directly at moodcolab.io. Three tiers: Diagnostic Scan, Growth Report and Strategic Direction. Each has a defined scope, fixed price and set delivery window.

Bespoke Packages

Custom projects scoped and priced individually, typically involving deeper strategy, multi-channel work, ongoing consultancy or services not covered by our fixed-fee tiers. Governed by a written quote or Statement of Work.

What's not included

All work is advisory and strategic. We do not provide campaign management, implementation, platform set-up, paid media buying, content production or ongoing account management unless separately agreed in writing.

All Diagnostic Products and Bespoke Packages are carried out personally by the founders of moodlab. We do not subcontract or assign the work to third parties without your prior written consent.

moodlab reserves the right to decline or cancel an order if we determine that the service is not suitable for the client's situation, or if the brief cannot be fulfilled with the information provided. In this case, a full refund will be issued.

5. Ordering and payment

Diagnostic Products are purchased directly through moodcolab.io. A contract between you and moodlab is formed when payment is successfully processed and you receive a confirmation email.

  • All prices are listed in GBP and are inclusive of VAT where applicable.
  • Payment is taken in full at the time of purchase.
  • Payments are processed securely by our third-party payment provider. We do not store full card details.
  • An order confirmation will be sent to the email address provided at checkout.
  • Intake form instructions and next steps are sent after payment is confirmed.

For Bespoke Packages, payment terms are agreed as part of the written quote or Statement of Work. Unless otherwise stated, we require a deposit of 50% before work begins, with the remainder due on delivery.

If your intake form reveals that the scope is materially different from what was purchased, we will contact you before starting work to discuss whether a different package is more appropriate. We will never begin work outside agreed scope and charge for it afterwards.

6. Delivery

All Diagnostic Products are delivered digitally as a custom Notion workspace, shared with you via email once complete. No physical product is posted.

Diagnostic Scan

Delivered within 7 working days from the date we confirm receipt of a complete Intake Form and all required access.

Growth Report

Delivered within 7 working days from the date we confirm receipt of a complete Intake Form and all required access.

Strategic Direction

Delivered within 14 working days from the date we confirm receipt of a complete Intake Form and all required access.

The delivery clock starts from the date we confirm that all required information and platform access has been received — not from the date of purchase. If we are still waiting on information from you, the timeline will not begin.

We will notify you as soon as possible if delivery is likely to be delayed for any reason outside our control. In such cases, we will agree a revised timeline with you.

Notion access is managed by you. We will share the workspace with the email address provided. You are responsible for ensuring that address has a Notion account or can create one. We have no control over Notion's platform availability.

7. Your obligations

The quality of our work depends on the quality of the information and access you provide. By purchasing a Diagnostic Product or entering into a Bespoke Package, you agree to the following.

  • Complete the Intake Form accurately and in full within 10 working days of purchase. Failure to do so may result in a delay to delivery, or forfeiture of the booking without refund.
  • Provide read-only access to any platforms, tools, dashboards, analytics accounts, ad accounts or other systems required to complete the audit.
  • Ensure the information you provide is accurate and not misleading. We rely on what you tell us.
  • Only share materials and data that you are lawfully permitted to share. Do not share personal data about your customers beyond what is necessary for the scope of the work.
  • Not share login credentials for full admin access where read-only access is available.
  • Tell us if any materials you share are commercially sensitive or confidential.

If inaccurate or incomplete information causes us to produce findings that are materially incorrect, we are not liable for that. We will, however, work with you in good faith to address it where reasonable.

8. Bespoke packages

Bespoke Packages are custom-scoped engagements available outside of the fixed-fee Diagnostic Product tiers. These may include deeper strategic work, multi-phase projects, follow-on engagements, team workshops or other services agreed on a case-by-case basis.

  • All Bespoke Packages are quoted individually following a discovery conversation or written brief.
  • A written quote, proposal or Statement of Work will be issued before any work begins. Work does not start until the quote is accepted in writing (email acceptance is sufficient) and any required deposit is received.
  • Scope, deliverables, timeline, payment terms and any other specific conditions are defined in the written quote or Statement of Work for each engagement.
  • Changes to scope during a Bespoke Package must be agreed in writing. Additional scope will be quoted separately.
  • These Terms and Conditions apply to all Bespoke Packages in addition to any specific terms in the written quote or Statement of Work.

If you want to discuss a Bespoke Package, contact us at lab@moodco.io with a brief description of what you need. We'll respond with honest feedback on whether we're the right fit, and a quote if we are.

9. Intellectual property

We believe the work we produce for you belongs to you. Once payment has been received in full, all Deliverables — including the Notion workspace, findings, recommendations, roadmaps and reports — are transferred to you as the client.

  • You are free to use, share, adapt and build on the Deliverables however you choose.
  • There is no time limit on your use of the Deliverables and no requirement to credit moodlab.
  • The Deliverables are not locked behind our accounts or access. You own them.

moodlab retains ownership of its own underlying methodologies, frameworks, templates and processes. These are not transferred with the Deliverables, but their application to your specific business context is entirely yours.

For Bespoke Packages, IP ownership may be set out differently in the written quote or Statement of Work. Where it is not specified, the above applies by default.

10. Confidentiality

Both parties may share confidential information in the course of the engagement. We each agree to treat that information with care.

  • We will not share your business data, access credentials, performance figures, strategic materials or anything you send us with any third party, except where strictly required to deliver the work (for example, using a cloud storage tool to organise your files).
  • We will not discuss the specifics of your business publicly, in marketing materials or in case studies without your explicit written consent.
  • You agree not to share any moodlab methodologies, internal frameworks or proprietary process documents with third parties.

These confidentiality obligations survive the end of the engagement.

11. Results and accuracy

Our work is strategic and advisory. We provide findings and recommendations based on the information available to us at the time of the engagement.

  • We do not guarantee specific commercial results, revenue uplifts, performance improvements or other outcomes from following our recommendations.
  • Marketing performance depends on many factors outside our control, including market conditions, your execution quality, channel algorithm changes and wider business decisions.
  • Our recommendations represent our honest professional judgement. They are not a guarantee and should not be treated as one.
  • We are not responsible for decisions you make or actions you take based on our Deliverables.

We take care to base all findings on real data and genuine analysis. We will always tell you if we cannot reach a reliable conclusion on a particular area, rather than guess.

If something in the Deliverables appears factually incorrect or based on a misunderstanding, please contact us. We will review it and correct genuine errors. See clause 14 for post-delivery support terms.

12. Limitation of liability

Nothing in these terms limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be limited under English law.

Subject to the above, our total liability to you under or in connection with these terms — whether in contract, tort (including negligence), breach of statutory duty or otherwise — is limited to the total fees paid by you for the specific product or service giving rise to the claim.

  • We are not liable for any indirect, consequential, special or punitive loss or damage.
  • We are not liable for loss of profits, loss of revenue, loss of business, loss of anticipated savings or any similar financial loss.
  • We are not liable for outcomes resulting from your use or non-use of the Deliverables.
  • We are not liable for third-party platform outages, changes or failures — including changes to Notion, advertising platforms, analytics tools or any other service used in the delivery of our work.

These limitations apply to the maximum extent permitted by applicable law.

13. Cancellations and refunds

Our Diagnostic Products are bespoke, time-bound digital services. The following applies.

  • Before work begins: if you cancel before completing the Intake Form and before we have begun any work, we will issue a full refund, less any payment processing fees.
  • Once work has begun: once we have confirmed receipt of your Intake Form and begun work, the purchase is non-refundable. This is because the time and resource is committed to your specific project from that point.
  • If we cancel: in the rare event that moodlab needs to cancel an engagement after payment, you will receive a full refund.

If you have a concern about the work delivered, please contact us in the first instance. We include two weeks of email support after delivery to address any questions or clarifications. See clause 14.

Consumer rights: if you are purchasing as an individual consumer (not in a business capacity), you may have the right to cancel within 14 days under the Consumer Contracts Regulations 2013. However, by completing the Intake Form and confirming you want us to begin work within that period, you acknowledge that your right to cancel is lost once work begins. We will make this clear at the point of confirmation.

For Bespoke Packages, cancellation terms are set out in the written quote or Statement of Work. Where they are not specified, a cancellation after work has begun will be charged on a pro-rata basis for time spent, with the remainder refunded.

14. Post-delivery support

Following delivery of a Diagnostic Product, we include a support period to make sure you can get the most from the work.

  • Two weeks of email support is included from the delivery date, for questions about the findings, clarifications on recommendations, or follow-up queries.
  • Support is provided by email at lab@moodco.io. We aim to respond within 2 working days.
  • Support does not include the production of new work, additional analysis, revised deliverables or implementation guidance beyond what was scoped.

If you need additional support after the two-week period — including follow-on consultancy, a re-audit or ad-hoc advisory time — this can be arranged as a separate Bespoke Package.

If you believe there is a factual error or significant omission in your Deliverables, please raise it within the two-week support window. We will review it and correct genuine errors at no additional charge.

15. Complaints

We want every client to come away feeling the work was worth it. If something has not gone the way you expected, please tell us.

  • Email lab@moodco.io with the subject line: Complaint
  • Include your name, the product purchased and a clear description of your concern.
  • We will acknowledge your complaint within 2 working days and aim to resolve it within 10 working days.

We are not able to resolve every complaint with a refund. What we can always do is listen, review the work honestly and tell you where we stand.

16. Governing law

These Terms and Conditions are governed by and construed in accordance with the law of England and Wales.

Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection law in your country of residence provides otherwise.

17. Changes to these terms

We may update these Terms and Conditions from time to time to reflect changes to our services, pricing, process or legal requirements.

The version in place at the time of your purchase is the version that applies to that purchase. The current version is always published on this page with the updated date shown at the top.
